Terms of Service

By creating an account or using ReviveBy ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms constitute a legally binding agreement between you (or the company you represent) and Ripple Inv LLC, a Utah limited liability company ("ReviveBy," "we," "us," or "our").

ReviveBy is a subscription-based SaaS platform that connects to your Stripe account and automatically detects failed payments, then sends targeted recovery emails to your customers on your behalf to recover lost revenue. Features include a recovery dashboard, email campaign management, multi-Stripe-account support, and recovery analytics.

To use the Service, you must:

• Create an account with a valid email address and password
• Provide accurate and complete information about yourself and your company
• Keep your account credentials secure and confidential
• Be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your company

You are responsible for all activity that occurs under your account. Notify us immediately at support@rippleinv.com if you suspect unauthorized access to your account.

ReviveBy requires you to connect one or more Stripe accounts via Stripe Connect. By connecting a Stripe account, you:

• Authorize ReviveBy to access your Stripe account data (customers, payment intents, subscriptions, failed payment events) as necessary to provide the Service
• Confirm that you have the right and authority to connect the Stripe account(s) you link
• Understand that ReviveBy will send emails to your customers on your behalf, and that you are responsible for the content and compliance of those emails
• Agree to comply with Stripe's own Terms of Service

You can revoke ReviveBy's access to your Stripe account at any time through your Stripe dashboard. Revoking access will disable the Service for that account.

Plans: ReviveBy offers tiered subscription plans based on your combined Stripe MRR and the number of Stripe accounts you connect. Current plans are displayed on our pricing page.

Billing: Subscriptions are billed monthly or annually in advance. Annual plans are billed as a single payment at a discounted rate.

Free trial: New accounts may be offered a free trial period. No credit card is required during the trial. At the end of the trial, you must subscribe to continue using the Service.

Auto-renewal: Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date.

Cancellation: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until that date.

Refunds: Except as described in the Money-Back Guarantee section below, payments are non-refundable. We do not provide prorated refunds for partial months or unused periods.

Price changes:We may change subscription prices with 30 days' advance notice. Continued use of the Service after the notice period constitutes acceptance of the new pricing.

If ReviveBy does not recover more in failed payments than you paid for your first month's subscription within 30 days, we will refund your first month's payment. This guarantee applies to your first billing month only, requires at least one active Stripe account connected for the full month, and is subject to verification of recovery data in your dashboard. To claim this guarantee, contact support@rippleinv.com within 14 days of the end of your first billing month.

You agree not to use the Service to:

• Send spam or unsolicited commercial email outside the context of legitimate payment recovery
• Violate any applicable law, including CAN-SPAM, GDPR, or other email regulations
• Impersonate any person or entity
• Attempt to gain unauthorized access to ReviveBy's systems or other users' accounts
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Resell or sublicense the Service without our written permission

We reserve the right to suspend or terminate accounts that violate these terms.

The Service, including all software, design, content, and trademarks, is owned by Ripple Inv LLC and protected by applicable intellectual property laws. These Terms do not grant you any rights to our intellectual property.

You retain ownership of your data and your customers' data. By using the Service, you grant us a limited license to use that data solely to provide the Service to you.

To the maximum extent permitted by law, ReviveBy's total liability to you for any claim arising out of or relating to the Service shall not exceed the amount you paid us in the 3 months preceding the claim.

We are not liable for: lost revenue, lost profits, lost data, indirect or consequential damages, failed payment recovery outcomes, or any damages arising from your customers' actions or your use of Stripe.

The Service is provided "as is" and "as available" without warranties of any kind. We do not guarantee any specific recovery rate, revenue outcome, or email deliverability. ReviveBy is a tool to assist with payment recovery; results will vary based on factors outside our control, including your customers' payment methods, bank policies, and email engagement.

Nothing in these Terms constitutes financial, legal, or tax advice.

By you: You may terminate your account at any time by canceling your subscription and contacting us to request account deletion.

By us: We may suspend or terminate your account at any time if you violate these Terms, engage in fraudulent activity, or if we discontinue the Service. We will provide reasonable notice where possible.

After termination: Upon termination, your access to the Service will cease. We will delete your account data within 30 days of a deletion request, subject to retention obligations described in our Privacy Policy.

These Terms are governed by the laws of the State of Utah, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Utah, and you consent to personal jurisdiction in those courts.

We may update these Terms from time to time. When we do, we will update the "Last updated" date and notify you by email at least 14 days before material changes take effect. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
